Validity of the General Terms and Conditions: These General Terms and Conditions are binding for all current and future business transactions with VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, even if they are not expressly referred to. Regulations that deviate from or supplement these General Terms and Conditions will only become part of the contract if this has been expressly confirmed in writing.
Offer: Offers from VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA are subject to change unless they are expressly designated as binding. The contracting party’s order is only deemed to have been accepted upon receipt of the order confirmation from Dr. Barbara Covarrubias Venegas #virtualspacehero in the contracting party’s electronic inbox, which then constitutes a contract. An obligation to provide the service – in particular to comply with proposed deadlines – only arises after the contract has been concluded.
Prices and payment terms: Fee notes from VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, are due promptly within 14 days of receipt and without deduction. The statutory sales tax will also be invoiced at the applicable rate. In the event of late payment, VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, is entitled to claim default interest of 8% above the base interest rate in addition to reminder fees. In the event of default, the contractual partner also undertakes to pay any necessary collection costs of a debt collection agency or lawyer.
The design & conception fee covers surveys and analyses that are necessary for the creation and conception of the individually adapted workshops or training courses. This includes (anonymous) participant surveys, the collection and processing of organization-specific case studies as well as the corresponding reporting. The conception fee includes all preparatory discussions, the tailor-made conception of the workshop and all documents, the content adjustments and feedback rounds on the seminar format. Conception fees are also charged for the planning, conception and content coordination of programs and in this case also include ongoing communication.
Travel and accommodation costs The price quoted includes travel, accommodation and meal costs for the trainers (flight costs, taxi or official mileage allowance, parking fees) (unless otherwise offered). Flight costs up to 5 hours: economy, otherwise business class, train journeys: 1st class. Arrival and departure times are included for training events with 2 or more booked training days, otherwise they are to be billed at an hourly rate of 50 euros. Travel costs are charged from the city limits of Vienna. Weekend and holiday surcharge: 500 euros per day. 200 euros are charged per overnight stay, although nights booked at the trainer’s request are not subject to this rule. If the arrival before the start of the event requires a departure before 7 a.m., an overnight stay is automatically charged. Hotel costs are covered by the contractor or passed on.
Cancellation conditions If the client withdraws from the contract, the following cancellation fees apply: Group training and workshops Within 14 calendar days of the order: 20%. Up to 28 calendar days before the start of training (time of departure/event): 50% Up to 14 calendar days before the start of training (time of departure/event): 80% The day of the order (written, verbal) counts as day 1. If there are fewer than 21 working days between the order and the implementation, a 100% cancellation fee will be charged in any case. Individual lessons, coaching, consulting orders Up to 14 calendar days after the order: 50%. Up to 7 calendar days before the start: 50% Within 48 hours, no-show: 100% If there are fewer than 7 working days between the order and the implementation, a 100% cancellation fee will be charged in any case. The contractor does not have to take into account what they have saved as a result of not doing the work or what they have acquired through other use or what they have intentionally failed to acquire.
Postponements of group events: possible free of charge up to 8 weeks before the booked date, otherwise 10% of the training price will be charged. Individual sessions: possible free of charge up to 24 (working days) before the booked date, otherwise 10% of the training price will be charged. In general: If the order is cancelled after the postponement, the cancellation periods and cancellation fees mentioned apply from the original date.
Copyright: The documentation used and created for the respective order is the intellectual property of VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA and is protected by copyright. Contracting parties are authorized to use all methods and concepts taught themselves. However, they are not authorized to pass these on to third parties in an organized form, regardless of whether with or without the intention of making a profit. The reproduction of the documents or the transfer of the documents into another format, e.g. digital format, is also not permitted. Results may only be used for the purpose agreed in the work contract.
Data protection: VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA treats all data provided to it by the contractual partner as confidential. Personal or business information, such as name, e-mail address and postal address are used exclusively for the individual support of the contractual partner, for processing the contracts concluded with them, for billing purposes, for communication about orders, for sending product information and for (technical) administration. By concluding a contract, the contractual partner expressly consents to the use and processing of his data to this extent and agrees to be informed about services from Dr. Barbara Covarrubias Venegas #virtualspacehero in the future. The contractual partner can revoke his consent to information about services from VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA at any time.
References: The contractual partner expressly grants VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA the right to name him as a reference customer. VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA is also entitled to use the contractual partner’s company name and logo on the website and in customer offers. The contractual partner is entitled to prohibit this use at any time without giving reasons.
Form requirement: Changes or additions to a contract must be made in writing. This also applies to changes to the written form requirement.
Subcontractors and qualifications: The use of subcontractors is always permitted. VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA guarantees that it will only use partners who have the necessary qualifications to fulfil its obligations. However, contracting parties are not entitled to any specific additional qualifications or training from the partners they employ.

Gültigkeit der Allgemeinen Geschäftsbedingungen: Diese Allgemeinen Geschäftsbedingungen sind verbindlich für den gesamten gegenwärtigen und künftigen Geschäftsverkehr mit VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, auch wenn darauf nicht ausdrücklich Bezug genommen wird.
Von diesen Allgemeinen Geschäftsbedingungen abweichende oder ergänzende Regelungen werden nur dann Vertragsbestandteil, wenn dies ausdrücklich schriftlich bestätigt wurde.
Angebot: Angebote von VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, sind freibleibend, soweit sie nicht ausdrücklich als verbindlich bezeichnet werden. Die Bestellung des Vertragspartners gilt erst mit Einlangen der Auftragsbestätigung von Dr. Barbara Covarrubias Venegas #virtualspacehero im elektronischen Posteingang des Vertragspartners als angenommen, womit ein Vertrag zustande kommt. Eine Verpflichtung zur Leistungserfüllung – insbesondere die Einhaltung vorgeschlagener Termine – entsteht erst nach Zustandekommen des Vertrages.
Preise und Zahlungsbedingungen: Honorarnoten von VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, sind nach Erhalt prompt binnen 14 Tagen und ohne Abzug fällig. Die gesetzliche Umsatzsteuer wird zusätzlich in der jeweils gültigen Höhe in Rechnung gestellt. Im Falle des Zahlungsverzugs ist VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA, berechtigt, neben Mahngebühren auch Verzugszinsen von 8% über dem Basiszinssatz geltend zu machen. Der Vertragspartner verpflichtet sich im Falle des Verzugs auch zur Zahlung von allenfalls erforderlichen Inkassospesen eines Inkassobüros oder Rechtsanwalts.
Die Konzeptionspauschale deckt Umfragen und Analysen, die zur Erstellung und Konzeptionierung der individuell angepassten Workshops bzw. Trainings notwendig sind, ab. Dazu gehören sowohl (anonyme) Teilnehmer:innen-Befragungen, das Einholen und Aufarbeiten von organisationsspezifischen Case Studies als auch das entsprechende Reporting. Im Konzeptions-Honorar enthalten sind sämtliche Vorbereitungsgespräche, die maßgeschneiderte Konzeption des Workshops und sämtlicher Unterlagen, die inhaltliche Anpassungen und Feedbackrunden zum Seminarformat. Konzeptionspauschalen werden ebenfalls für die Planung, Konzeptionierung und inhaltliche Abstimmung von Programmen verrechnet und beinhalten in diesem Fall auch die laufende Kommunikation.
Reise- und Aufenthaltskosten Zum angeführten Preis kommen Reise-, Unterkunfts- und Verpflegungskosten der Trainer:inn(en) (Flugkosten, Taxi bzw. amtliches Kilometergeld, Parkgebühren) hinzu (außer anders angeboten. Flugkosten bis zu 5h: Economy, ansonsten Business Class, Zugfahrten: 1. Klasse. An- und Abreisezeiten sind bei Trainingsveranstaltungen ab 2 gebuchten Trainingstagen inklusive, ansonsten mit einer Stundenrate von 50 Euro abzurechnen. Reisekosten werden ab Stadtgrenze Wien verrechnet. Wochenend- und Feiertagszuschlag: 500,- pro Tag. Pro Übernachtung werden 200 Euro verrechnet, wobei Nächte, die auf Wunsch der Trainer:in gebucht werden, nicht unter diese Regel fallen. Sollte die Anreise vor Maßnahmenbeginn eine Abreise vor 7 Uhr früh bedingen, fällt automatisch eine Übernachtung an. Hotelkosten werden von der Auftragnehmerin gedeckt oder weiterverrechnet.
Stornobedingungen Bei Rücktritt vom Vertrag durch die Auftraggeberin fallen folgende Stornogebühren an: Gruppentrainings und Workshops Innerhalb von 14 Kalendertagen nach Beauftragung: 20%. Bis 28 Kalendertage vor Trainingsstart (Zeitpunkt der Abreise/Veranstaltung): 50% Bis 14 Kalendertage vor Trainingsstart (Zeitpunkt der Abreise/Veranstaltung): 80% Der Beauftragungstag (schriftlich, mündlich) gilt dabei als Tag 1. Sollten zwischen Beauftragung und Durchführung weniger als 21 Arbeitstage liegen, werden in jedem Fall 100% Stornogebühr verrechnet. Einzelstunden, Coachings, Beratungsaufträge Bis 14 Kalendertagen nach Beauftragung: 50%. Bis 7 Kalendertage vor Beginn: 50% Innerhalb von 48h, NoShow: 100% Sollten zwischen Beauftragung und Durchführung weniger als 7 Arbeitstage liegen, werden in jedem Fall 100% Stornogebühr verrechnet. Die Auftragnehmerin muss sich nicht anrechnen lassen, was sie sich infolge des Unterbleibens der Arbeit erspart oder durch anderweitige Verwendung erworben oder zu erwerben absichtlich versäumt hat.
Verschiebungen Gruppenveranstaltungen: bis 8 Wochen vor dem gebuchten Termin kostenfrei möglich, ansonsten werden 10% des Trainingspreises verrechnet. Einzelsessions: bis 24 (Arbeitstag) vor dem gebuchten Termin kostenfrei möglich, ansonsten werden 10% des Trainingspreises verrechnet. Allgemein gilt: Sollte der Auftrag nach der Verschiebung storniert werden, gelten die genannten Stornofristen und Stornogebühren ab dem ursprünglichen Termin.
Copyright: Die für den jeweiligen Auftrag verwendeten und erstellten Dokumentationen sind geistiges Eigentum von VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA und urheberrechtlich geschützt. Vertragspartner sind berechtigt, alle vermittelten Methoden und Konzepte selbst anzuwenden. Sie sind jedoch nicht berechtigt, diese in organisierter Form, unabhängig ob mit oder ohne Gewinnerzielungsabsicht, an Dritte weiterzuvermitteln. Auch die Vervielfältigung der Unterlagen bzw. die Übertragung der Unterlagen in ein anderes, beispielsweise digitales Format, ist nicht gestattet. Ergebnisse dürfen nur zu dem im Werkvertrag vereinbarten Zweck verwendet werden.
Datenschutz: VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA behandelt sämtliche ihr vom Vertragspartner überlassenen Daten vertraulich. Persönliche oder geschäftliche Informationen, wie z.B. Name, E-Mail-Adresse und Post-Adresse werden ausschließlich zur individuellen Betreuung des Vertragspartners, zur Abwicklung der mit diesen geschlossenen Verträge, zu Abrechnungszwecken, zur Kommunikation über Bestellungen, zur Übersendung von Produktinformationen und für die (technische) Administration verwendet. Mit Abschluss eines Vertrags stimmt der Vertragspartner einer Verwertung und Verarbeitung seiner Daten in diesem Ausmaß ausdrücklich zu und erklärt sich damit einverstanden, dass er zukünftig über Dienstleistungen von Dr. Barbara Covarrubias Venegas #virtualspacehero informiert wird. Der Vertragspartner kann seine Einwilligung hinsichtlich der Information über Dienstleistungen von VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA jederzeit widerrufen.
Referenzen: Der Vertragspartner erteilt VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA ausdrücklich das Recht ihn als Referenzkunden zu nennen. VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA ist auch berechtigt den Firmennamen und das Logo des Vertragspartners auf der Website und in Kundenangeboten zu verwenden. Der Vertragspartner ist jederzeit ohne Angabe von Gründen berechtigt diese Nutzung zu untersagen.
Formerfordernis: Änderungen oder Ergänzungen eines Vertrages bedürfen der Schriftform. Dies gilt auch für die Änderung des Schriftformerfordernisses.
Subunternehmer und Qualifikation: Der Einsatz von Subunternehmern ist stets zulässig. VIRTUAL SPACE HERO CONSULTING, SOCIEDAD LIMITADA garantiert, dass sie für die Erfüllung ihrer Pflichten ausschließlich PartnerInnen einsetzt, die die dafür erforderliche Qualifikation besitzen. Vertragspartner haben jedoch keinen Anspruch auf eine bestimmte darüber hinausgehende Qualifikation oder Ausbildung der bei ihnen eingesetzten PartnerInnen.
